Of note is that this all-cash acquisition is funded 100% by debt, <a href=\"https:\/\/www.moodys.com\/research\/Moodys-reviews-Microsofts-Aaa-rating-for-downgrade-following-announced-acquisition--PR_350591\">triggering a Moody&#8217;s review<\/a> that may possibly downgrade Microsoft&#8217;s AAA rating.<\/p>\n<p>Why debt when Microsoft has $7.2B in cash and equivalents and another $98.4B in short term investments? The short answer appears to be <a href=\"http:\/\/www.bloomberg.com\/news\/articles\/2016-06-13\/why-microsoft-with-100-billion-is-borrowing-to-buy-linkedin\">taxes<\/a>. Most of Microsoft&#8217;s available cash is held offshore and the company would face a significant tax liability to repatriate it.<\/p>\n<p>From <a href=\"https:\/\/c.s-microsoft.com\/en-us\/CMSFiles\/MSFT_FY16Q3_10Q.docx?version=6deaf1bf-a9ca-7733-78ec-a1b7ec5f94cf\">Microsoft&#8217;s latest 10Q filing<\/a>, &#8220;of the cash, cash equivalents, and short-term investments as of March 31, 2016, $102.8 billion was held by our foreign subsidiaries and would be subject to material repatriation tax effects.&#8221; Thus, over 97% of Microsoft&#8217;s available cash and short term investments is not accessible to the company for domestic activity without triggering a significant tax event.<\/p>\n<p>Given that <a href=\"https:\/\/c.s-microsoft.com\/en-us\/CMSFiles\/MSFT_FY15Q4_10K.docx?version=9fe5e8b6-2e7b-847e-d3e3-a3ba0035973e\">Microsoft&#8217;s weighted-average stated interest rate on long-term debt<\/a> is just over 3% and the assumed corporate tax rate is 35%, Microsoft saved approximately $8.3B by borrowing rather than repatriating cash. (Note that Microsoft is not alone in their preference to take on debt rather than repatriate cash. <a href=\"http:\/\/www.marketwatch.com\/story\/apple-to-issue-10-billion-to-12-billion-of-bonds-to-finance-share-buybacks-dividends-2016-02-16\">Apple pursued a similar strategy<\/a> in February in order to finance stock buybacks and dividend payments.)<\/p>\n<h3>49%<\/h3>\n<p>Oracle released their <a href=\"http:\/\/s1.q4cdn.com\/289076952\/files\/doc_financials\/4Q16\/4q16-pressrelease-June.pdf\">Q4 \/ FY2016 financial results<\/a> on June 16, 2016. For the fiscal year ending May 2016, Oracle&#8217;s total USD revenue was $37B, down 3% from the prior year&#8217;s revenue. However, even though total revenue declined, Oracle&#8217;s revenue from SaaS\/PaaS activities was up 49% ($2.2B USD).<\/p>\n<p>Oracle has been vocally shifting away from a traditional licensing model in favor of a subscription\/SaaS revenue model. This trend \u2013 and Oracle&#8217;s newest results \u2013 are of particular note to those that follow <a href=\"https:\/\/thesoftwareparadox.com\/\">The Software Paradox.<\/a><\/p>\n<h3>13M<\/h3>\n<p><a href=\"http:\/\/www.asymco.com\/2016\/06\/16\/state-of-the-ecosystem\/\">Horace Dediu did a fantastic job unpacking the news from WWDC last week<\/a>, and all his visualizations are worth exploring. The figure that most stood out to me were the 13M registered Apple developers, an 18% year-over-year growth rate in developers on the platform.
