Pending regulatory anti-trust approval, the firm will be taken private by a group of investors led by <a href=\"http:\/\/www.agm.com\/Home.aspx\">Apollo Global Management<\/a> in Q4 of 2016.<\/p>\n<p>This valuation equates to a price of $32\/share. The 38% premium cited in the announcement is calculated against a base share price from August 3, as the <a href=\"http:\/\/www.wsj.com\/articles\/rackspace-hosting-nears-sale-to-private-equity-firm-1470342568\">news about the pending acquisition<\/a> began increasing the company stock price as early as August 4.<\/p>\n<p>For historical context, this valuation falls considerably below the company\u2019s peak market capitalization in January 2013 when Rackspace was worth $10.9B. Though they were once one of the early arrivers and main competitors in the space, Rackspace now partners with major players like Amazon and Microsoft rather than competing against them directly. Rackspace has been transparent about <a href=\"http:\/\/www.networkworld.com\/article\/3068614\/cloud-computing\/rackspace-s-big-pivot-pays-off.html\">its pivot<\/a> from supplying cloud infrastructure to supporting it. While the company still offers their own hosting services, their <a href=\"http:\/\/redmonk.com\/rstephens\/2016\/06\/16\/infrastructure-investments-by-cloud-service-providers\/\">current investments in cloud infrastructure<\/a> are dwarfed by larger competitors.<\/p>\n<p>As a managed cloud provider, Rackspace has focused on \u201c<a href=\"http:\/\/www.bloomberg.com\/news\/articles\/2016-08-26\/apollo-agrees-to-buy-cloud-company-rackspace-for-4-3-billion\">helping companies shift their IT operations to its larger competitors\u2019 servers<\/a>.\u201d AWS\u2019 <a href=\"http:\/\/www.aws-partner-directory.com\/PartnerDirectory\/PartnerDetail?Name=rackspace\">managed service provider directory<\/a> provides a fairly concise description of Rackspace\u2019s positioning:<\/p>\n<blockquote><p>\n  \u201cRackspace helps businesses realize the power of the Amazon Web Services cloud from a trusted partner with a track record of managing business-critical applications. Rackspace engineers deliver operational tooling, best practices, and specialized expertise on top of Amazon Web Services.\u201d\n<\/p><\/blockquote>\n<p>In his <a href=\"https:\/\/blog.rackspace.com\/why-rackspace-is-becoming-a-private-company\">blog post discussing the logic of the acquisition<\/a>, Rackspace CEO Taylor Rhodes cites the company\u2019s need for more strategic flexibility and lauds Apollo\u2019s \u201cpatient, value-oriented approach.\u201d Going private will ideally provide the Rackspace leadership team with the opportunity to complete their pivot with a longer horizon than is typically granted by public markets.
